BlueLadder Builders LLC – Comprehensive Terms and Conditions

These Terms and Conditions (“Agreement”) govern all services provided by BlueLadder Builders LLC (“Contractor”) to the “Client” for remodeling, construction, or renovation work within the State of Florida. By signing any estimate, proposal, or agreement referencing these terms, the Client agrees to the following:

 

 

1. 

Contract Documents

 

This Agreement, together with signed proposals, change orders, specifications, and scope documentation, represents the full understanding between Contractor and Client. No oral statements or prior conversations shall modify or supersede these terms unless in writing and signed by both parties.

 

 

2. 

Scope of Work

 

The scope of work will be defined in the signed proposal. Any additional work or modifications require a written change order, which may include changes in cost and timeline.

 

 

3. 

License & Insurance

 

Contractor is a licensed Florida Building Contractor, License #CBC1268807, and carries appropriate general liability and workers’ compensation insurance.

 

 

4. 

Permits & Code Compliance

 

Contractor will obtain all required building permits unless otherwise specified in writing. All work will comply with:

 

  • The Florida Building Code (FBC)

  • Palm Beach County local amendments and regulations

  • All applicable zoning and inspection laws

    Client acknowledges that permit processing times may impact the start or completion date.

 

 

5. 

Project Timeline

 

All timelines are estimates and subject to change based on:

 

  • Permit processing

  • Weather events (hurricanes, storms, flooding)

  • Material delays

  • Inspection scheduling

    Contractor will make reasonable efforts to complete work on time, but will not be liable for delays outside its control.

 

 

6. 

Change Orders

 

All changes must be documented and approved by both parties. Verbal requests will not be acted upon. Changes affecting price, scope, or timeline will be billed separately and added to the project invoice.

 

 

7. 

Site Access & Safety

 

Client must provide safe and uninterrupted access to the property during normal working hours. The Client agrees to remove valuables and personal items from the job site. Contractor is not liable for damages to items left in or near the work area.

 

 

8. 

Utilities

 

Client shall ensure that water, electricity, and other necessary utilities remain active and accessible during construction. If unavailable, Contractor may charge additional fees to provide temporary service.

 

 

9. 

Payments

 

  • A deposit is due upon contract execution

  • Progress payments must be made according to the payment schedule

  • Final payment is due upon substantial completion

    Late payments may result in work stoppage. Past-due balances will incur 1.5% monthly interest and may result in the filing of a construction lien.

 

 

10. 

Materials & Fixtures

 

Unless noted otherwise, Contractor will select materials that meet the design scope and budget. Client-supplied materials must be delivered on time and meet code. Contractor is not responsible for delays or warranty issues related to non-specified or third-party products.

 

 

11. 

Warranties

 

Contractor offers a 1-year limited workmanship warranty. Manufacturer warranties apply to fixtures and materials. This warranty excludes:

 

  • Damage due to client misuse or neglect

  • Wear and tear from weather

  • Acts of God (e.g. hurricanes, floods, etc.)

  • Third-party work after project completion

 

 

12. 

Subcontractors

 

Contractor may use licensed subcontractors to complete portions of the work. Contractor remains responsible for project supervision and coordination.

 

 

13. 

Right to Cure – Florida Statute §558.004

 

Under Florida Statute 558, the Client agrees to notify the Contractor of any alleged construction defects in writing and provide the opportunity to inspect and remedy the issue before initiating legal action. Failure to follow this statute may affect legal remedies.

 

 

14. 

Florida Lien Law Notice – Florida Statute §713

 

Under Florida law, failure to pay for contracted improvements may result in a construction lien against the property. A Notice to Owner may be issued by the Contractor or subcontractors. Client acknowledges this right under Florida Statutes §713.06.

 

 

15. 

Termination

 

Either party may terminate this agreement for cause with written notice. Client shall pay for all work completed, materials ordered, and costs incurred up to the termination date. Contractor reserves the right to recover restocking fees and administrative costs.

 

 

16. 

Force Majeure

 

Contractor is not liable for delays or non-performance caused by events beyond its control, including natural disasters, pandemics, labor shortages, civil unrest, or supply chain failures.

 

 

17. 

Dispute Resolution

 

In the event of a dispute, the parties agree to first attempt mediation in Palm Beach County. If mediation fails, legal action may be filed in the courts of Palm Beach County, Florida, and the prevailing party shall be entitled to recover attorney’s fees and costs.

 

 

18. 

Governing Law

 

This agreement shall be governed by and interpreted under the laws of the State of Florida.

 

 

19. 

Severability

 

If any part of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force.

 

 

20. 

Acceptance & Acknowledgement

 

By entering into a remodeling agreement with BlueLadder Builders LLC, the Client acknowledges receipt and agreement to these terms and conditions.
